Inno Supps Ambassadors Program Terms and Conditions

BY ENROLLING IN THE INNO SUPPS AMBASSADOR PROGRAM, YOU ARE CONFIRMING THAT YOU HAVE READ THESE TERMS & CONDITIONS AND AGREE TO BE BOUND THEREBY.
This Inno Supps Ambassador Program Agreement (“Agreement”) is entered into by and between Clean Supps, LLC. (“Inno Supps” or the “Company”) and the Participant (“Participant, “Ambassador,” or “You” enrolled in the Inno Supps Ambassador Rewards Program (“Program”).Purpose: The Clean Supps, LLC (“Inno Supps” “Company”) Ambassadors Program is destablishigned to promote brand awareness, facilitate community engagement, and reward verified customer loyalty. Participation in this program constitutes acceptance of these legally binding terms and conditions, as well as adherence to all applicable laws and regulations, ambassadors agree to abide by these terms and conditions.Program Description: Participation in the Program provides an opportunity for Participants to earn commissions on sales of Inno Supps products through their unique discount codes and referral links, subject to the terms and conditions outlined herein.Ambassadors acknowledge that supplements are not intended to diagnose, treat, cure, or prevent any disease and that the use of Inno Supps products is solely at the ambassador's own risk. Inno Supps expressly disclaims any provision of medical or health advice and recommends that ambassadors consult with a healthcare professional before product use.Eligibility Requirements: To qualify for the Inno Supps Ambassadors Program, participants must: (a) be at least 18 years of age, (b) be legal residents where applicable, (c) have verifiable customer purchase history, and (d) meet social media engagement criteria as specified below. meet the following criteria:Have established active social media presence engagement with a minimum of 1,000 verified followers across their chosen platforms at the time of application, as verified by Inno Supps during the initial review process.Participant agrees to the Privacy Policy, Cookies Policy, and Terms and Conditions available on the Inno Supps website. Participants must subscribe and agree to receive promotional and commercial communications from Inno Supps and its affiliates. Participants must have an active bank account or an active PayPal account. Participants' Instagram content must use the tag @InnoSupps (and on the photo and in the caption and #InnoSupps in the caption for Inno Supps to track the content). Participants' TikTok content must tag @InnoSupps and #InnoSupps in the caption for Inno Supps to track content. Participants' YouTube content must link back to the Inno Supps website. Participants must follow @InnoSupps on Instagram, TikTok, and YouTube.Ambassador Responsibilities: As an independent contractor participating in the Inno Supps Ambassador Program, Participants shall determine their own methods and means of promoting the brand while adhering to applicable laws and program guidelines. While maintaining their independent business operations, Participants may and are strongly encouraged to:Choose to create and share original, compliant content across social media channels of their choosing, determining their own posting schedule and engagement methods while maintaining professional standards.Strictly adhere to FTC disclosure requirements, ensuring that all sponsored content includes appropriate disclosures, and consistently use approved brand messaging as provided by Inno Supps.Maintain a level of online, demonstrable engagement that contributes to brand promotion and sales; failure to meet minimum engagement criteria may result in suspension or revocation of discount codes, referral links, and other program benefits.Compensation & Benefits: Participants shall receive compensation and benefits, which may include sales commissions, product giveaways, exclusive access to product launches, and other incentives as outlined herein:Participants will earn a commission(s) on referred sales, with rates and payment structures as determined by Inno Supps and subject to change with prior notice.Participants may receive product giveaways and samples, provided at the discretion of Inno Supps and in accordance with program availability.Participants may enjoy exclusive early access to new product launches, special promotions, and sales events, as detailed in subsequent communications.All commission compensation is subject to verification and applicable tax withholdings required by law. Payment for commissions and benefits shall be processed through authorized third-party platforms and subject to the terms specified by Inno Supps.Payment Structure: Enrolling in the Program allows You to earn Commission on Net Sales of Product (defined as the final sale price less returns, chargebacks, taxes, shipping, and any other applicable deductions) made on the Inno Supps website using Your unique discount code and/or unique URL. You acknowledge that this commission structure represents payment for results rather than time worked. Discounts available through Your unique discount code and/or unique URL are not stackable with each other and are not stackable with any other discounts. Company shall track the Participant’s Commission via unique discount code(s) and a unique URL assigned to the Participant. Payouts will be released following a mandatory 30-day holding period after sales verification, subject to any necessary adjustments for returns or disputes.Commission payouts are processed automatically through the designated Social Snowball Platform, contingent upon Inno Supps final verification of sales and in compliance with program requirements. Minimum payout thresholds and payment schedules will be communicated through the Social Snowball Platform.Company shall only pay Commission to Participant on Net Sales completed on or before the termination date of this Agreement. Commission shall be paid via third party service provider, and as such, Participant permits the sharing of its personal information to allow for such Commission payments to be tracked, processed, and made to Participant via Company’s designated third-party service provider. Company reserves the right to discontinue any discount code, including Participant’s discount code, at any time with or without notice. No Commission shall be earned on discontinued discount codes and the Company shall have no obligation to pay Participant any commission based on use of a discontinued discount code. Except for the Commission set forth herein, Company has no obligation to provide any other compensation, allowance, or reward to Participant. Participant must be in full compliance with this Agreement to receive Commission payments.Once you earn a Commission, you will receive notice of earned Commission via the email address you registered in connection with your enrollment in the Program.Company reserves the right to terminate your participation in the Program immediately, at any time, and indefinitely, if Company Suspects or knows of any improper, prohibited, or fraudulent act, or any breach or potential breach of this Agreement by the Participant. Company reserves the right to immediately cancel this Agreement without notice or withhold payment of Commission in the event that the Commission results from prohibited activities under this Agreement. Company reserves the right, in its sole discretion, to change or modify the Program, Commission payment percentage, structure or timing of payment at any time provided that such changes shall not be applicable to Commissions already earned at the time of such change or modification.Content & Intellectual Property: Inno Supps As between Ambassador and Company, Company shall own all rights, title and interest, including all Intellectual Property Rights, in and to Inno Supps and this Program. For the purposes of this Agreement, “Intellectual Property Rights” means copyright rights, trademark rights, patent rights, trade secrets, moral rights, right of publicity, authors’ rights, contract and licensing rights, goodwill and all other intellectual property rights as may exist now and/or hereafter come into existence and all renewals and extensions thereof, regardless of whether such rights arise under the laws of the United States or any other state, country or jurisdiction. Content Created by Ambassador as between Participant and Company, Participant shall own all right, title and interest, including all Intellectual Property Rights, in and to content created by Ambassador and used in connection with Ambassador’s unique discount code(s) or unique URL provided by Company (“Content”).Content shall comply with the laws of each and every jurisdiction in which the Content is used or posted, including the laws and regulations of the U.S. Federal Trade Commission. Ambassador shall be solely liable for any failure to comply with such laws and regulations. In the event that Ambassador does not comply with applicable laws and regulations, then Company shall have the immediate right to terminate with agreement with or without notice to Ambassador and without any further payment to Ambassador.LICENSE: Ambassador grants to Company and its Affiliates a royalty free, perpetual, non-exclusive, irrevocable license to use, copy, modify, distribute, perform, display, create derivatives of the Content as if such Content was owned by the Company. Ambassador grants to Company an irrevocable, perpetual and unlimited right, but not the obligation, to use Contractor’s name, image and likeness in connection with the Content, and any such use shall not give rise to any fees or expenses. Ambassador represents and warrants that it is the owner of the Content and that it has obtained the written consent from every person appearing in the Content to use and license to Company such person’s name image and likeness in the Content. Ambassador understands it is liable for any claims, causes of action, damages, costs or expenses (including attorneys’ fees) that might arise as a result of failure by the Ambassador to secure the express written consent of any person appearing in the content as required in connection with this Agreement. Ambassador agrees that by participating in this program, you are agreeing to indemnify Company for any claims, causes of action, damages, costs or expenses (including attorneys’ fees),whether known or unknown, that might arise as a result of failure by the Ambassador to secure the express written consent of any person appearing in the content as required in connection with this Agreement.Ambassadors shall comply with Inno Supps’ brand guidelines and must obtain prior written consent for any use of the company’s logos, trademarks, or other proprietary intellectual property in ways not expressly authorized herein.Compliance & Code of Conduct Ambassadors are expected to conduct themselves in a professional manner by adhering to all applicable laws, regulations, and best practices in online communication and commerce. Ambassadors are expected to maintain the highest standards of professionalism, honesty, and ethical behavior in all interactions, online and offline when serving as a representation of the Inno Supps brand. Ambassadors must refrain from making any misleading claims, disseminating offensive or defamatory content, or engaging in promotions that directly conflict with Inno Supps’ interests. Inno Supps reserves the right to request takedown of any content from the Ambassador that doesn’t fit in the best interest of the Company.Termination & Removal: Inno Supps reserves the right to terminate an ambassador’s participation for reasons including, but not limited to, non-compliance with program terms, misconduct, or any activity detrimental to the company’s reputation including but not limited to:Failure to maintain active discount codes.Improper use of discount codes.Breach or violation of any of the program’s terms and conditions.Violation of any federal, state, or local laws.Engagement in activities or conduct that may damage or harm the reputation of Inno Supps.Unauthorized disclosure or public posting of ambassador discount codes on third-party coupon or discount websites.Failure to maintain timely communication with Inno Supps, including but not limited to neglecting to submit required tax documentation or other verification materials.Inno Supps reserves the right to terminate an ambassador's participation at any time, without notice, and without obligation to provide any compensation, except as otherwise provided by law.Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER INNO SUPPS NOR ITS AFFILIATES SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THIS PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL INNO SUPPS' TOTAL LIABILITY TO PARTICIPANT EXCEED THE AMOUNT OF COMMISSIONS EARNED BY PARTICIPANT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.Ambassadors agree to indemnify, defend, and hold harmless Inno Supps, its affiliates, and their respective officers, directors, and employees from any claims, liabilities, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or in connection with their participation. Ambassadors acknowledge and agree that they are independent contractors and not employees of Inno Supps. As independent contractors, Ambassadors: (1) are free to provide similar services to other companies and maintain their own independent business operations; (2) are responsible for all business expenses, taxes, and insurance related to their promotional activities; (3) shall determine their own schedule, methods, and manner of performing services; and (4) are not eligible for any employee benefits or protections. Inno Supps makes no guarantees, representations, or warranties regarding any specific income, sales results, or performance outcomes as a result of participation in the ambassador program.Updates to Terms: These Terms and Conditions may be amended from time to time at the sole discretion of Inno Supps with changes becoming effective upon posting on the official website or via direct communication. Continued participation in the Program after such notice period constitutes acceptance of the modified terms. Participants will be notified of any modifications through the email addresses provided or via alerts on the Social Snowball Platform, and it is the Ambassador’s responsibility to review such communications.
DISCLAIMER OF WARRANTY: THE PROGRAM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS, WARRANTIES OR GUARANTEES OF ANY KIND. THE COMPANY EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR GUARANTEES, EXPRESS OR IMPLIED, WITH RESPECT TO THE PROGRAM OR ANY PRODUCTS SOLD THROUGH THE PROGRAM (INCLUDING, WITHOUT LIMITATION, WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT, OR ANY IMPLIED WARRANTIES ARISING OUT OF A COURSE OF PERFORMANCE, DEALING, OR TRADE USAGE). IN ADDITION, THE COMPANY MAKES AND GIVES NO WARRANTY (i) THAT THE PROGRAM WILL MEET YOUR REQUIREMENTS, (ii) THAT THE PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, AND (iii) THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PROGRAM IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR MOBILE DEVICE OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OR USE OF ANY SUCH MATERIAL. THE COMPANY FURTHER MAKES NO REPRESENTATION THAT THE OPERATION OF THE COMPANY’S WEBSITE AND/OR ITS SERVICE PROVIDER’S WEBSITE WILL BE UNINTERRUPTED OR ERROR-FREE, AND WE WILL NOT BE LIABLE FOR ANY SUCH INTERRUPTIONS OR ERRORS.By enrolling in the Inno Supps Ambassador Program, you expressly acknowledge that you have read, understood, and agree to be bound by these comprehensive Terms and Conditions. Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Nevada, and the arbitrator's decision shall be final and binding.
